1. Acceptance of Terms

By accessing or using Prediction Quant (the "Service"), operated by Dojo Tech Labs, LLC ("Company," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service.

These Terms apply to all visitors, users, and others who access or use the Service. Your continued use of the Service after any modifications constitutes acceptance of the updated Terms.

2. Description of Service

Prediction Quant is a subscription-based decision intelligence platform for prediction market traders. The Service provides:

• Market analysis tools including EV scoring and Prime EV filtering

• Arbitrage opportunity scanning across Kalshi and Polymarket

• Automated trade journaling and performance analytics

• EdgeStrike — a real-time signal engine covering Crypto, Weather, Finance, and Sports prediction markets on Kalshi

All content, signals, and analysis provided by Prediction Quant are for informational and educational purposes only. Nothing in the Service constitutes financial, investment, legal, or trading advice.

3. Eligibility

To use the Service, you must:

• Be at least 18 years of age

• Be legally permitted to participate in prediction markets in your jurisdiction

• Provide accurate and complete registration information

• Not be barred from using the Service under applicable law

By using the Service, you represent and warrant that you meet all eligibility requirements. We reserve the right to terminate accounts that do not meet these requirements.

4. Subscription Plans and Billing

4.1 Subscription Tiers

The Service is offered under the following subscription plans:

• Founder Plan: Available to the first 50 subscribers only. First month billed at $49, then $97/month locked for life. Includes all features except EdgeStrike Automation.

• Standard Plan: $199/month. Available to all subscribers after Founder spots are filled. Includes all features except EdgeStrike Automation.

• Automation Plan: $399/month. Available as an upgrade to any active subscriber when the EdgeStrike Automation feature launches. Includes all features plus automated EdgeStrike execution.

Plan availability and pricing are subject to change. Existing subscribers will be notified of any material changes to their plan.

4.2 Billing and Payment

Subscriptions are billed monthly on a recurring basis. Payment is processed through Stripe. By subscribing, you authorize us to charge your payment method on a recurring monthly basis until you cancel.

All fees are stated in US Dollars. You are responsible for any applicable taxes, which may be added to your invoice.

4.3 Cancellation

You may cancel your subscription at any time through your account settings or by contacting us at contact@predictionquant.com. Cancellation takes effect at the end of your current billing period. You will retain access to the Service until the end of the paid period.

4.4 Refund Policy

All subscription fees are non-refundable except as required by law or as explicitly stated in a written agreement with the Company. If you cancel mid-cycle, you will not receive a prorated refund for the unused portion of the billing period.

If you experience a technical issue that prevents you from accessing the Service, please contact us at contact@predictionquant.com within 7 days and we will evaluate your request on a case-by-case basis.

4.5 Founder Plan Limitations

Founder Plan subscribers receive the locked $119/month rate for the life of their active subscription. This rate is contingent on maintaining an active subscription — if a Founder Plan subscriber cancels, the Founder rate is forfeited and they would be subject to the then-current Standard or Automation pricing upon resubscription.

Founder Plan subscribers do not receive access to EdgeStrike Automation. They may upgrade to the Automation Plan at $399/month when available, but doing so transitions them out of the Founder pricing structure permanently.

5. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of applicable laws or regulations

• Share your account credentials with any third party

• Attempt to reverse engineer, decompile, or extract source code from the Service

• Scrape, crawl, or systematically extract data from the Service

• Use the Service to develop competing products or services

• Interfere with or disrupt the integrity or performance of the Service

• Attempt to gain unauthorized access to the Service or its related systems

• Post or transmit any content that is unlawful, harmful, or offensive

6. Intellectual Property

All content, features, and functionality of the Service — including but not limited to text, graphics, logos, algorithms, signal models, and software — are owned by Dojo Tech Labs, LLC and are protected by applicable intellectual property laws.

You are granted a limited, non-exclusive, non-transferable license to access and use the Service for your personal, non-commercial trading activities. This license does not include the right to reproduce, distribute, or create derivative works.

7. Disclaimers

7.1 Not Financial Advice

The Service is provided for informational and educational purposes only. Nothing in the Service constitutes financial advice, investment advice, trading advice, or any other type of professional advice. Dojo Tech Labs, LLC is not a registered investment advisor, broker-dealer, or financial institution.

7.2 No Guarantees of Results

Past performance of any signals, analysis, or market evaluations does not guarantee future results. Prediction markets involve substantial risk of financial loss. You may lose all capital you invest.

7.3 Algorithmic Signals

EdgeStrike signals and all other analytical outputs are generated algorithmically. They are not the product of licensed financial analysts reviewing individual positions. Signal outputs represent statistical assessments of market conditions and should not be treated as definitive instructions.

7.4 Platform Independence

Prediction Quant is not affiliated with, endorsed by, or partnered with Kalshi, Polymarket, or any other prediction market platform. We operate independently.

7.5 Service Availability

We do not guarantee that the Service will be available at all times. The Service may be subject to outages, maintenance, or interruptions. We will make reasonable efforts to notify users of planned downtime.

8. Limitation of Liability

To the maximum extent permitted by applicable law, Dojo Tech Labs, LLC and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of data, or loss of goodwill, arising out of or in connection with your use of the Service.

In no event shall our total liability to you exceed the amount you paid to us in the twelve (12) months preceding the claim.

9. Indemnification

You agree to indemnify and hold harmless Dojo Tech Labs, LLC and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with your access to or use of the Service, your violation of these Terms, or your violation of any third-party rights.

10. Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the collection and use of your information as described in the Privacy Policy.

11. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes via email or a prominent notice on the Service. Your continued use of the Service after the effective date of the revised Terms constitutes your acceptance of the changes.

12. Termination

We reserve the right to suspend or terminate your access to the Service at our sole discretion, with or without notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties.

Upon termination, your right to use the Service immediately ceases. Sections 6, 7, 8, and 9 of these Terms survive any termination.

13. Governing Law

These Terms are governed by and construed in accordance with the laws of the United States and the state in which Dojo Tech Labs, LLC is registered, without regard to conflict of law principles. Any disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.
